Nov. 2: shareholder vote on Agility deal
What it means for you

Nothing changes for home buyers. Agility's Digit is a warehouse and factory robot with no consumer version. The listing would make Agility one of the few humanoid makers that publish audited financials, which gives a public read on what these robots cost to build and sell.

Agility Robotics said on October 13, 2026 that the SEC declared effective the Form S-4 registration statement for its planned merger with Churchill Capital Corp XI, a blank check company that trades as CCXI.

Churchill XI shareholders will vote at an extraordinary general meeting on November 2, 2026. If they approve and other conditions are met, the deal is expected to close in November and the combined company would trade on Nasdaq as AGLT. The record date was September 14.

Agility says gross proceeds would exceed $620 million, made up of about $424 million in Churchill XI's trust, assuming no shareholder redemptions, and about $200 million from a private placement led by Foxconn. Unite.AI reports a $2.5 billion pre-money equity value, set when the deal was announced on June 24.

Unite.AI reports more than $300 million in committed Digit 5 orders, subject to contract milestones and specifications, nine committed customer facilities, and a Salem, Oregon factory designed for up to 10,000 robots a year. Humanoids Daily reports the $300 million commitment covers 1,000 robots, released in tranches as uses are proven.

Shareholder approval is still pending, and SEC effectiveness does not mean the agency endorses the investment. Redemptions could reduce the cash raised.

Agility's customers include Schaeffler, GXO and Toyota Motor Manufacturing Canada, which signed a robot-as-a-service agreement after a pilot. Unite.AI says earlier Digit generations have logged more than 65,000 hours of work across nine customer sites, and Digit 5 early access customers are expected in early 2027.

If the deal closes, Agility would join Unitree, which listed in Shanghai in August, as a publicly traded humanoid maker. Digit is not on our home humanoid tracker because it is not sold for homes.
